<DIV>Hi All, Attached are the By-laws we have been working on. There
are some minor changes recommended by the YRHASC at their meeting. Those
changes are highlighted in red and/or explained in the margins.</DIV>

By-Laws on Friday. As you may have seen in the minutes, they also
voted to merge with the YRH Corp. so we are close to finishing this
reorganization.
